We work with Judgement and candour

We give you an honest reading of your options before you spend a euro on litigation. Including when that honest reading is that you should not.

Practice
areas

Two disciplines

A deal is won or lost on both fronts at once: the contract and the return. That is why the same team that negotiates the shareholders' agreement reviews the structure of the investment. If your matter falls outside these areas, we will tell you on the first call.

How we
work

Four phases, in this order

The order matters: nobody signs a strategy without a written diagnosis, and nobody starts billing hours before you approve the budget.

Phase 01

Diagnosis

We read the whole file and give you a candid assessment of your options, including not going ahead. In writing, not over the phone.

First 72 hours
Phase 02

Structure

Legal and financial plan with milestones, deadlines and cost. It is signed before the first filing or the first contribution, and it does not move without your authorisation.

Week 1
Phase 03

Execution

The same person responsible from start to finish: you will not be handed down to a trainee in month four. Status report every fortnight.

Duration of the matter
Phase 04

Closing

Resolution, enforcement of what was obtained and a final report on what we learned, so the same problem does not come back through another door.

On completion

The commitment

Advice is only worth something if the person giving it can afford to say no.

In practice it is simple: if the case will cost you more than you can recover, or if the deal does not stand up to analysis, you will know at the first meeting, not three invoices later. We would rather start by telling you no than have to explain later why it went wrong.

Let's talk about yours

Team

The person you meet is the person who signs

Behind the Veredum name are professionals who answer in their own name. Whoever meets you at the first meeting is the one who will sign your documents and be in the room on the day of the deal: there are no silent reassignments. Where a matter calls for a different specialism, a trusted lawyer joins from day one, and you are told before we start who will be involved and why. Click on any of them to see their full background.

Where do
you stand?

Where to start

Almost everyone who calls us is in one of these six situations. Find yours and you will see exactly what we will do in the first meeting, before you engage us and before you spend a euro.

Corporate

“I'm setting up a company with partners.”

The cheapest moment to resolve a shareholder dispute is before it exists. Capital is allocated, it is settled who decides what, and it is agreed how each of you leaves if one day you want to.

First step

A draft shareholders' agreement with the four clauses that really decide: reinforced majorities, drag along and tag along, non-compete and exit.

Book a consultation

Investment

“An investor has come in and sent me their paperwork.”

A term sheet is not a formality: it fixes the valuation, the future dilution and, very often, actual control of the company. What is signed there shapes every round that follows.

First step

A clause-by-clause reading, translated into numbers: what percentage you keep in each scenario and what you have given away without noticing.

Book a consultation

M&A

“I want to sell my company. Or buy one.”

The price is agreed at the start and lost at the end: in the representations and warranties, in the price adjustments, and in whatever does or does not surface in due diligence.

First step

A one-page map of the deal: phases, the risks that actually matter, and a realistic timetable to signing.

Book a consultation

Dispute

“My partner and I no longer see eye to eye.”

Corporate deadlock gets worse on its own. Every month without a decision reduces the value of the company and narrows the exits available to both of you.

First step

An honest analysis of your position and of the other side's, and the real routes out: negotiated, statutory or judicial, with their cost and their timescale.

Book a consultation

Wealth

“I have capital and want the investment structured properly.”

A good investment badly structured stops being one. The legal form of the vehicle, the entry of co-investors and the tax treatment are decided before investing, not after.

First step

A review of the proposed structure from both banks of the river: the legal one and the return.

Book a consultation

Defence

“I've received a claim or a lawsuit.”

Some deadlines cannot be recovered. The first decision, whether to respond, negotiate or wait, shapes the rest of the proceedings more than any later filing.

First step

An assessment of deadlines and options on the first call, and who at the firm or among our consultants should take it on.

Book a consultation

Your case not here? That is the sign it is worth saying out loud. The initial consultation lasts thirty minutes and ends with a concrete recommendation, even if that recommendation is to do nothing yet.

Analysis

We publish when we have something to say and can say it precisely. No press round-ups, no copied legislation: what changes, who it changes it for, and what to do about it.

Spanish listed companies: fewer CNMV filings during a takeover bid and on treasury shares, and a route to list abroad without moving the register

Besides reforming anti-money laundering rules, Royal Decree 813/2026 relieves listed companies and their shareholders of several CNMV filings dating back to 2007. From 28 October, some disappear and others are only triggered at higher thresholds.
